Team Leader - Secretarial

Job Summary

We are seeking a highly skilled and detail-oriented Company Secretary, who will serve as a vital link, to join our organisation. The role encompasses legal compliance, corporate governance, and strategic support to ensure the company operates efficiently, ethically and within the framework of applicable laws and regulations. The ideal candidate must have a strong understanding of corporate law and possess excellent communication and organizational skills.

Responsibilities

  • Organising Board and other committee Meetings and Shareholders’ General Meetings of the Company, including preparing agendas, minutes, and resolutions.
  • Secretarial work & Statutory Compliances under Companies Act, Listing Regulations and SEBI regulations.
  • Prepare and file necessary documents, returns, and forms with government authorities, such as the Registrar of Companies (RoC), MCA and the Securities and Exchange Board of India (SEBI).
  • Liaison with ROC, Stock Exchange, NSDL/CDSL, SEBI and other authorities.
  • Handling of Statutory and Secretarial Audit related work.
  • Maintain and update statutory registers, books, and records required by law.
  • Monitor changes in relevant legislation and regulations and communicate their impact on the company.
  • RBI compliances for inward/outward investments/financial commitments.
  • Knowledge/experience of secretarial matters of overseas subsidiaries shall be an added advantage.
  • Prepare and file annual reports, and other corporate disclosures with ROC, Stock Exchange etc.
  • Handling of matters related to corporate restructuring, mergers, acquisitions, and other corporate transactions.

 

Requirements

  • In-depth knowledge of the Companies Act, 2013, Listing regulations and other relevant corporate laws and regulations.
  • Strong understanding of corporate governance principles and practices.
  • Excellent communication, interpersonal, and presentation skills.
  • Proficient in using relevant software applications and technology platforms.
  • High level of integrity, professionalism, and ethical conduct.
  • Strong attention to detail and organizational abilities.
  • Ability to work independently, prioritize tasks, and meet deadlines.
  • Knowledge of the stock exchange functioning and securities laws.

Educational Qualification

Qualified Company Secretary (ACS) with membership in the Institute of Company Secretaries of India (ICSI).

Experience

6-8 years of experience working as a Company Secretary or in a similar role in a listed company.
